1. Agreement to Terms

By accessing or using LuminixAI ("the Service"), operated by Jonathan Sinclair ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

These terms apply to all users, including both Free Starter users and paid subscribers.

2. Description of Service

LuminixAI is an AI-powered strategic research platform that provides:

Automated strategic research and analysis
AI-powered synthesis of research findings
Document upload and processing capabilities
Report generation and export functionality

The Service uses artificial intelligence models provided by third-party providers (including Anthropic) to generate research insights and recommendations.

3. User Accounts

To use the Service, you must:

Create an account using valid authentication credentials
Provide accurate and complete information
Maintain the security of your account credentials
Promptly notify us of any unauthorized access

You are responsible for all activities that occur under your account.

4. Credits and Payment

Free Starter

New users receive 2 free research credits. Free credits are subject to the same terms as paid credits but do not include data encryption at rest.

Paid Credits

After using free credits, users may purchase additional credits. Credits are valid for 12 months from purchase and are non-refundable.

Payment Processing

All payments are processed by Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions. By making a purchase, you also agree to Paddle's terms of service. Paddle handles all payment processing, invoicing, and sales tax collection.

Refunds

Refund requests are handled on a case-by-case basis. If you are unsatisfied with the Service, please contact us within 14 days of purchase. We may issue a full or partial refund at our discretion. Refunds are not guaranteed and will be processed through Paddle.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Generate content that is illegal, harmful, or deceptive
Attempt to reverse engineer or extract AI models
Circumvent usage limits or access controls
Resell or redistribute generated content as an automated service
Generate content for spam, phishing, or malicious purposes

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

Your Content

You retain ownership of any content you upload to the Service (documents, text inputs, etc.). By uploading content, you grant us a limited license to process that content solely to provide the Service to you.

Generated Output

Research reports and synthesized content generated by the Service are provided for your use. You may use generated outputs for personal and business purposes, subject to the accuracy limitations described below.

Our Content

The Service, including its design, features, and underlying technology (excluding AI models from third parties), is owned by Jonathan Sinclair and protected by intellectual property laws.

7. AI-Generated Content Disclaimer

Important: Content generated by the Service is produced by artificial intelligence and should be treated as a starting point for research, not as definitive fact.

AI-generated content may contain errors, inaccuracies, or outdated information
Generated insights should be verified independently before making business decisions
Citations provided may not always be accurate or complete
The Service does not provide professional, legal, financial, or medical advice

You are responsible for verifying the accuracy of any generated content before relying on it.

OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
WE ARE NOT LIABLE FOR DECISIONS MADE BASED ON AI-GENERATED CONTENT

11. Indemnification

You agree to indemnify and hold harmless Jonathan Sinclair and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these terms or for any other reason with reasonable notice.

Upon termination:

Your right to use the Service ends immediately
Unused credits are non-refundable
We may delete your data after a reasonable retention period

13. Changes to Terms

We may update these terms from time to time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.
